Welcome to AX Technologies Uganda. These Terms of Service ("Terms", "Agreement") constitute a legally binding contractual agreement between the subscriber — whether an educational institution, retail merchant, wholesale enterprise, pharmaceutical dispensary, hospital facility, or corporate entity ("Subscriber", "Client", "You") — and AX Technologies Uganda ("Company", "We", "Us"), situated in Bushenyi, Uganda.
By accessing our web portal (axtechnologies.net), activating an institutional subscription, logging into administrative dashboards, deploying point of sale terminals, or integrating our APIs, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms and our companion Privacy Policy.
1. Institutional Account Registration & Security
To deploy our enterprise systems, your institution is provisioned with an isolated administrative workspace:
- Authorized Representation: The individual registering on behalf of a school, retail business, clinic, or firm confirms they have lawful managerial authority (e.g. Headteacher, Bursar, Managing Director, Pharmacist-in-Charge, Medical Superintendent) to bind the institution to this Agreement.
- Credential Confidentiality: Subscribers are strictly responsible for maintaining the confidentiality of administrative credentials, passwords, and multi-factor authentication tokens. You must notify us immediately at [email protected] if you suspect unauthorized access.
- Role-Based Access Control (RBAC): Institution administrators must assign user roles responsibly (e.g., allocating teacher, cashier, or nurse privileges) to prevent internal employee misuse.
2. Software Subscriptions, Tiers & Financial Terms
Our software suites operate on transparent subscription models:
- Institutional Capacity Tiers (SmartSchool.ug): Software subscriptions are billed annually or termly based on verified student enrollment capacity (from Free Starter up to Enterprise Tier). If student enrollment expands beyond the contracted threshold, the institution agrees to upgrade to the appropriate tier.
- Commercial Point of Sale (TradeDesk POS): Billed as a software license per terminal checkout point with optional continuous hardware maintenance, thermal receipt roll supply, and barcode scanner calibration.
- Currency & Invoicing: All subscription charges are invoiced in Uganda Shillings (UGX) unless otherwise agreed in writing. Invoices are payable via bank transfer, school fees collection accounts, or verified Telecom Mobile Money merchant lines.
- Grace Window: As a commitment to our partners, SmartSchool.ug grants a 90-day post-activation grace window to enable schools to collect termly fees before final settlement deadlines.
- Taxes: Unless explicitly stated, pricing excludes statutory value-added tax or electronic payment transaction levies required by the Uganda Revenue Authority (URA).
3. Service Availability, Uptime & Technical Support (SLA)
We recognize that schools, supermarkets, pharmacies, and clinics rely on our software for real-time daily operations:
- 99.5% Target Uptime: AX Technologies Uganda maintains cloud infrastructure engineered for 99.5% operational availability, excluding announced scheduled maintenance windows.
- Scheduled Maintenance: System upgrades, security patches, and database optimizations are scheduled during off-peak hours (typically 1:00 AM – 4:00 AM East Africa Time) with prior institutional notification.
- Technical Support Channels: All active subscribers receive direct developer and customer support via dedicated phone hotlines (0772 651 444 / 0740 233 225), WhatsApp technical desks, and physical on-site deployment assistance anywhere in Uganda.
4. Intellectual Property Rights & Client Ownership of Data
A clear distinction is maintained between software technology ownership and customer institutional data:
- Company Intellectual Property: AX Technologies Uganda retains exclusive, absolute ownership of all software source code, database architectures, user interface designs, algorithmic CBC grading calculators, report card generation engines, brand emblems, and documentation. Nothing in this Agreement transfers copyright or source code ownership to the Subscriber.
- Limited License: Subject to timely subscription payment, AX Technologies Uganda grants the Subscriber a non-exclusive, non-transferable, revocable license to utilize the software for legitimate institutional operations during the active subscription period.
- Client Data Ownership: The Subscriber exclusively owns all data, records, student marks, transactions, accounting journals, and patient health information uploaded into their instance. AX Technologies Uganda asserts no ownership rights over your institutional data.
5. Acceptable Use & Prohibited Conduct
Subscribers and end-users agree strictly NOT to engage in any of the following prohibited activities:
- Decompiling, disassembling, reverse-engineering, or attempting to discover the underlying source code of our systems.
- Circumventing licensing caps, student capacity thresholds, or terminal restrictions.
- Introducing malware, viruses, worms, Trojan horses, or any malicious code intended to degrade server operations.
- Attempting unauthorized penetration tests, vulnerability scans, or denial-of-service (DoS) attacks on our hosting network.
- Using the software for fraudulent transactions, money laundering, falsification of UNEB academic credentials, or unauthorized dispensing of controlled narcotics.
- Violating the Computer Misuse Act, 2011 (as amended) of Uganda.
Any verified breach of acceptable use authorizes AX Technologies Uganda to suspend the offending account immediately without refund.
6. Third-Party Integrations & Telecommunication Disclaimer
Our platforms integrate with third-party telecommunication networks to provide automated SMS alerts and Mobile Money payments (MTN MoMo and Airtel Money):
- AX Technologies Uganda ensures robust API connectivity from our systems to telecom carrier gateways.
- However, we cannot be held liable for delayed SMS deliveries or payment timeouts resulting from telecom network outages, USSD congestion, carrier maintenance, or local power grid interruptions outside our reasonable control.
7. Limitation of Liability
To the maximum extent permitted by Ugandan law (including the Contracts Act, 2010):
- AX Technologies Uganda shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including loss of profits, business interruptions, loss of institutional goodwill, or data loss caused by unauthorized user credential disclosure.
- Our aggregate monetary liability for any claim arising out of or related to this Agreement shall strictly not exceed the total subscription fees actually paid by the Subscriber in the twelve (12) months immediately preceding the event giving rise to liability.
8. Termination & Data Offboarding Protocol
Either party may terminate this Agreement under the following terms:
- Termination for Convenience: An institution may conclude their subscription at the end of their current billing term by giving thirty (30) days written notice.
- Termination for Cause: Either party may terminate immediately if the other commits a material breach and fails to cure such breach within fourteen (14) days of written notice.
- Guaranteed Data Offboarding: Upon termination, the institution is entitled to request a complete export of their institutional data (student grades, bursar ledgers, sales records) in industry-standard formats (Excel / CSV / SQL dump) within thirty (30) days, after which inactive tenant data is securely purged in accordance with our data disposal protocol.
9. Strategic Partnerships & Custom Software Engineering
In alignment with our corporate mission — "Contact us with any idea and we put it into play" — custom development contracts, proprietary integrations, and joint venture partnerships are governed by customized Addenda and Statements of Work (SOW) executed alongside these Master Terms.
10. Governing Law & Dispute Resolution
This Agreement shall be interpreted and governed in all respects by the Laws of the Republic of Uganda.
- Any controversy, dispute, or claim arising out of or relating to this contract shall first be submitted to good-faith amicable negotiation between institutional executive leadership and AX Technologies Uganda management.
- If unresolved within thirty (30) days of formal notice, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act (Cap. 4) of Uganda, or submitted to the jurisdiction of the commercial courts of Uganda.
